Terms of Service

Please read these Terms of Service ("Terms") carefully before using FreezerBooks (the "Service") operated by FreezerBooks ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using FreezerBooks, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms and our Privacy Policy.

2. Description of Service

FreezerBooks is a cloud-based software-as-a-service (SaaS) platform designed to help meat processors, butchers, and farm-direct sellers manage freezer inventory, track sales, and generate customer receipts. The Service is hosted on Supabase infrastructure and delivered via the web at https://freezerbooks.com.

3. Free Trial

New accounts receive a 7-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or discontinue the free trial at any time without notice.

4. Subscription and Billing

After the free trial, the Service is available on a subscription basis:

  • Monthly Plan: Billed monthly at the then-current rate.
  • Annual Plan: Billed annually at the then-current rate, with a discount compared to monthly billing.

All payments are processed securely by Stripe, Inc. We do not store your full payment card details on our servers. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are listed in USD and are subject to change with 30 days' notice.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at legal@freezerbooks.com. Cancellation takes effect at the end of the current billing period; you will retain access until that date. We do not provide prorated refunds for unused portions of a billing period, except where required by applicable law.

6. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@freezerbooks.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and icons — are owned by FreezerBooks or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during your subscription term.

9. Your Data

You retain ownership of all data you input into the Service ("Customer Data"). You grant us a limited license to store, process, and transmit your Customer Data solely to provide the Service. We will not sell your Customer Data to third parties. See our Privacy Policy for full details on how we handle your data.

10. Data Storage and Third-Party Services

The Service uses the following third-party providers to deliver its functionality:

  • Supabase: Database hosting and authentication. Your data is stored on Supabase-managed PostgreSQL servers.
  • Stripe: Payment processing. Stripe's privacy policy and terms govern payment data.
  • Resend: Transactional email delivery (e.g., receipts, notifications).

We are not responsible for the acts or omissions of these third-party providers beyond our reasonable control.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FREEZERBOOKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless FreezerBooks and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service ceases immediately. Sections 8, 11, 12, 13, and 14 survive termination.
